Handbook: How to Request a CIM

Introduction

A Confidential Information Memorandum (CIM) is a key document in the M&A process, providing potential buyers with essential details about a business. Properly structuring and requesting a CIM ensures clarity, consistency, and compliance with Capstone M&A’s best practices.

Step 1: Gathering Initial Information

Before requesting a CIM, ensure the Ready For Exit Report is completed and attached under Deal Attachments in MadeMarket. This report serves as the foundation for many CIM components, streamlining the process.

  1. Locate the CMA number under deal 

  2. Scroll down to Files​

  3. Upload the Ready for Exit Report with the file name structured like the example below.

​​​​​​Step 2: Defining the CIM Structure

Each industry has unique presentation needs, so it’s essential to outline the slide flow in the Marketing Tab under the corresponding Opportunity.

Recommend Slides:

  1. Opening Page – Includes company logo and introductory information.

  2. Disclaimer – A confidentiality and accuracy disclaimer.

  3. History & Overview – Background information on the company.

  4. Service Structure – Description of the business model and services.

  5. Organization – Overview of management, including an organizational chart.

  6. Company Equipment – Inventory and valuation of hard assets (coordinate site visit if needed).

  7. Value Approach – Explanation of valuation methods used.

  8. Growth Strategies – Discussion of expansion opportunities.

  9. Summary of Acquisition – Key highlights of the business and acquisition details.

Step 3: Submitting the Request

Once the information is structured and compiled:

  1. Confirm that all necessary reports, visuals, and financials are available.

  2. Submit the request via the internal M&A system or designated workflow.

  3. Communicate with the team to address any outstanding requirements or missing data.

Step 4: Final Review & Approval
  • Conduct a thorough review for accuracy, clarity, and completeness.

  • Ensure branding and formatting are consistent with the clients standards.

  • Obtain final approval before distributing the CIM to potential buyers.

Step 5: Accessing and Editing CIMs in Canva

Capstone M&A utilizes Canva for CIM design and storage.

To edit or access a CIM, request to join the Capstone M&A Canva Team.

All CIMs are housed in the CIM folder within Canva for easy collaboration and updates.
